Major Reshuffling in U.S. Beverage Distribution

Republic National Distributing Company (RNDC) has officially closed its previously announced transaction with Reyes Beverage Group, marking a significant consolidation in the competitive beverage distribution landscape.

The deal covers 10 markets immediately: Arizona, Colorado, Florida, Louisiana, Maryland, Oklahoma, South Carolina, Texas, Virginia, and Washington, D.C. The Hawaii transaction remains subject to regulatory approval.

What's Next for Associates

RNDC emphasized associate continuity as a central focus throughout the transition. "Today marks an important milestone for everyone involved, and we are grateful for the partnership and collaboration that helped bring the transaction to completion," said Marc Sachs, President and Chief Executive Officer of RNDC. "We also appreciate the dedication and professionalism demonstrated by our associates across all of our markets. Throughout this process, our focus has been on creating opportunities for our associates and supplier partners while supporting a thoughtful and orderly transition across these markets."

RNDC said it remains committed to supporting customers, associates, and supplier partners through the transition and additional pending transactions ahead.

Advisory Team

Kirkland & Ellis LLP served as legal counsel, Lazard as financial advisor, AlixPartners, LLP as operational advisor, and Joele Frank, Wilkinson Brimmer Katcher as strategic communications advisor.

Why It Matters

The transaction represents one of the largest recent redistribution of beverage alcohol market share among the "Big 3" national wholesalers. The deal underscores ongoing consolidation pressures and strategic repositioning in spirits and wine distribution, where scale and market coverage remain critical competitive factors. For operators in the affected markets, supplier relationships and logistics may shift significantly.
